1. ORDERS AND PRODUCT CONFIRMATION

All orders are subject to availability, price confirmation, credit approval and formal acceptance by AAFUD Nigeria. The Customer must confirm the correct product, grade, specification, colour/flavour, concentration, pack size, quantity, delivery address and intended application before payment.

Processed, dispatched, specially sourced, imported, manufactured, blended, reserved or repacked orders may not be cancelled or changed without prior written approval.

2. PRICES, TAXES AND PAYMENT

Prices are in Nigerian Naira unless otherwise stated and may include VAT, transport, insurance, handling and bank charges. Payment shall be made only to an official Company account or formally authorised channel.

Payments to employees, drivers, agents or third parties are not recognised unless officially acknowledged. Credit purchases must be paid within the approved period; overdue accounts may lead to supply suspension, withdrawal of credit and lawful recovery action.

3. DELIVERY, RISK AND INSPECTION

Delivery dates are estimates unless guaranteed in writing. Risk transfers when products are delivered, collected, or handed to a transporter appointed by the Customer.

The Customer must inspect products immediately and verify name, quantity, pack size, batch/lot number, dates, seals, labels and visible condition. Any shortage, leakage, damage, broken seal or wrong supply must be recorded on the delivery note before signing.

4. REPORTING DELIVERY DISCREPANCIES

Visible claims should be reported in writing within three (3) working days after delivery, quoting the invoice/delivery note, product, batch, affected quantity and supporting photographs or videos. The affected product, packaging, labels and seals must be preserved and must not be discarded, repacked, mixed or processed without written instructions.

5. PRODUCT RETURN POLICY

No product may be returned without prior written authorisation. A return may be approved where the wrong product or quantity was supplied, the product was damaged before delivery, a verified defect exists, or it materially fails to meet the agreed specification.

Returns must be unopened, unused, unprocessed, correctly stored, traceable to the invoice and batch, and in original sealed packaging with sufficient shelf life.

Opened, sampled, repacked, diluted, mixed, partially used, contaminated, improperly stored, expired, short-dated, clearance, discounted, customised or specially ordered products are normally non-returnable unless incorrectly supplied or required by law.

Receiving a returned item does not constitute claim approval; final acceptance follows inspection and, where necessary, testing.

6. PRODUCT EXCHANGE OR CHANGE

A request to change a correctly supplied product should normally be made within Three (3) calendar days and is subject to written approval and replacement-stock availability.

Where the Customer selected the wrong product, grade, flavour, colour, pack size or quantity, the Customer bears return/replacement transport, price differences and any disclosed inspection, handling or restocking charge.

7. QUALITY COMPLAINTS

Hidden or technical defects must be reported promptly after discovery and within shelf life. Stop using the affected product and provide the invoice, product and batch details, quantities received/used/remaining, opening date, complaint description, photos, storage conditions, dosage, formulation and process information.

AAFUD Nigeria may inspect the product or facility, request a retained sample or arrange laboratory testing. The Company is not responsible for issues caused by incorrect dosage, unsuitable formulation, incompatible materials, poor processing, equipment, water quality, storage or failure to follow technical guidance.

8. APPROVED REMEDIES

After verification, the Company may replace or exchange the affected quantity, issue a credit note, refund the verified purchase value or agree another reasonable resolution. Refunds are made through the original payment method or to a verified account belonging to the invoiced Customer. Transport, handling and bank charges may be non-refundable where the order was correctly fulfilled.

9. STORAGE AND HANDLING

After delivery, the Customer is responsible for storage, handling, stock rotation and traceability. Products must remain sealed in a clean, cool, dry and ventilated area, away from sunlight, heat, moisture, pests, chemicals, fuel, contaminants and strong odours, under stated label or technical-document conditions.

AAFUD Nigeria is not responsible for deterioration caused by mishandling, contamination, unauthorised repacking, unsuitable storage or use after expiry.

10. PRODUCT USE AND TECHNICAL GUIDANCE

The Customer must confirm suitability for its formulation, production process, finished product and market. Samples, dosage recommendations, formulations and technical advice are provided in good faith.

The Customer must conduct appropriate production trials, compatibility, stability, sensory and regulatory assessments before commercial use and must comply with applicable food, safety, manufacturing and labelling requirements.

11. DOCUMENTATION, TRACEABILITY AND RECALL

Available Certificates of Analysis, specifications, safety and technical data may be requested. The Customer must retain invoices, batch numbers and production records and must not alter labels, batch numbers, expiry dates or product documents.

Upon a recall, withdrawal or safety notice, immediately stop use/distribution, isolate the batch, preserve records, disclose quantities received/used/resold and follow the Company’s instructions. Suspected contamination or regulatory concerns must be reported immediately.

12. LIABILITY, DISPUTES AND ACCEPTANCE

Nothing excludes rights or liabilities that cannot legally be excluded. Subject to law, the Company is not responsible for indirect or consequential losses, or losses caused by misuse, incorrect formulation/dosage, improper storage, contamination, alteration, use after expiry or failure to follow instructions.

Delays caused by events beyond reasonable control do not create liability. Disputes shall first be addressed through good-faith negotiation and may proceed to mediation, arbitration or lawful court action. Nigerian law governs these terms. By accepting the invoice or products, the Customer confirms prompt inspection, understanding of return/exchange procedures, proper storage and traceability, and payment according to agreed terms.
